Terms of Use for Reckon Data Conversion

By using the Services you indicate your agreement and compliance with these Terms of Use. Please read these carefully.
IF YOU DO NOT AGREE WITH THESE TERMS OF USE, PLEASE DO NOT SUBMIT YOUR DATA.

1.Definitions
For the purposes of this Agreement:
  1. User” or “You” means the individual or business entity that is using or accessing the Services, including its employees and agents.
  2. “Services” means all the components (including websites, data upload and download facilities and data conversion programs) offered by Odyssey to convert one unique accounting data set from one third party software package to the relevant Reckon product format. The conversion to the relevant Reckon product format may require the use of tools provided by Odyssey, and such tools may be online (cloud) tools.
  3. “Personal Information” has the meaning as given in the Privacy Act 1988 (Cth).
  4. “Privacy Laws” means the Privacy Act 1988 (Cth) and the Australian Privacy Principles, as amended from time to time.
  5. “Source Data” means any data inputted or uploaded by you or with your authority into the Service, which may include Personal Information
  6. “Output Data” means any data converted to the relevant Reckon product format and/or uploaded into the Service, which may include Personal Information.
2. Services
  1. The Services includes Source Data upload, storing the uploaded Source Data on a server, converting it into the relevant Reckon product format and then notifying you to advise that the Output Data is available for you to retrieve.
  2. You acknowledge and agree that Odyssey may establish general practices and policies concerning use of the Services, including, without limitation, the maximum number of files that You may upload through the Services, the maximum size of the files that You may convert through our Services, the maximum number of hours or days that Source Data will be stored on our server, and the period of time to complete a conversion. You can request information on a case by case basis. Odyssey reserve the right to change or discontinue any of the Services at any time.
  3. Subject to all the terms and conditions of these Terms of Use, Odyssey shall supply the Services to you.
3. Conditions for Usage of Services
  1. To access these Services, you must provide all required information online (including without limitation your e-mail address and phone number) and accept these Terms of Use.
  2. It is your responsibility to ensure that you have proper authorization from other parties whose Source Data you submit for the Services, where relevant, and that all parties for whom or to whom services are provided comply with and accept all terms of these Terms of Use that apply to you.
  3. You must ensure that all information issued to you by Odyssey required to access Source Data and Output Data using the Services are kept secure and confidential. Odyssey will not accept any liability as a result of your failure to safeguard the information.
  4. When using the Services you must not:
    1. Attempt to undermine the security or integrity of the Services;
    2. Attempt to gain unauthorized access to any materials other than those to which you have been given express permission to access;
    3. Attempt to transmit or input into the Services any files that may damage any other person’s computing devices or software, any content that may be offensive, or any material or Source Data in violation of any law
    4. Upload or transmit as part of Source Data or otherwise any data, text, graphics, content, or material that: (i) is false or misleading; (ii) is defamatory; (iii) invades another's privacy; (iv) is obscene, pornographic, or offensive; (v) promotes bigotry, racism, hatred, or harm against any individual or group; (vi) infringes another's rights, including any privacy or intellectual property rights; (vii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (viii) spreads messages of terror or depicts torture; (iv) harm minors in any way, this includes any form of child pornography; (x) promotes illegal activity, including but not limited to, gambling and the offering for sale of illegal weapons
    5. Access, tamper with, or use any non-public areas of the Services or Odyssey's computer systems or the technical delivery systems of Odyssey's providers;
    6. Interfere with, or attempt to interfere with, the access of any Services User, host or network, including, without limitation, sending a virus, malicious programs, overloading, flooding, spamming, or mail-bombing the Services; or
    7. Misuse system resources including, but not limited to, employing content which consume excessive CPU time or storage space; utilizing excessive bandwidth; or resale of access to content hosted on Odyssey’s servers.
    8. Impersonate or misrepresent your affiliation with any person or entity
    9. Create a link to any website that is part of the Services from another website or document without Odyssey’s prior written consent.
  5. If you breach any of the above Odyssey reserve the right to remove any data submitted without reference to you and co-operate with any investigation by the authorities or court order relating to it, any and all consequences that may directly or indirectly follow will be entirely your responsibility not the responsibility of Odyssey. You agree to indemnify and hold Odyssey harmless from any action or consequences that may arise in such circumstances, including any claims by third parties.
  6. You agree to defend, indemnify, and hold harmless Odyssey, and all affiliates, officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms of Use.
4. Disclaimer, Limited Warranties and Limitation of Liability
  1. The Competition and Consumer Act 2010 (Cth) and other laws may imply certain conditions and warranties into these Terms of Use and give you certain rights and remedies that cannot be excluded or modified. The disclaimer and limited warranties provided below, do not exclude or modify any of those rights if to do so would contravene that law or make any part of these Terms of Use void
  2. To the full extent permitted by law, Odyssey exclude all conditions, warranties and rights that may be implied into these Terms of Use. If conditions, warranties or other rights for your benefit are implied in these Terms of Use or otherwise conferred by law and it is not lawful to exclude, restrict or modify them, then those conditions, warranties and other rights will (but only to the extent required by law) apply to these Terms of Use.
  3. Odyssey’s liability for breach of any implied conditions or warranties that cannot be excluded is limited, to the extent permitted by law and at Odyssey’s sole option is to replace or re-supply the Services.
  4. The Service is provided on an "as is" and "as available" basis. Use of the Service is at your own risk. While Odyssey have endeavoured to take all reasonable steps to ensure that access to the Services and delivery of the Data Output is uninterrupted, Odyssey do not make any warranty that access to the Service or finalisation of, or access to the Data Output will be uninterrupted or be fit for your purpose or that the Service, the Source Data, or the Data Output will be error free or will not be deleted or lost, or available to you within any timeframe or meet any time deadlines, whether or not you have advised us of these requirements. You must verify the accuracy and completeness of all data in the Data Output.
  5. You acknowledge and agree that Odyssey will not be responsible for any failure to convert Source Data or store Source Data or Output Data. You acknowledge and agree that Odyssey will not be responsible for the deletion of Source Data or Output Data stored or processed during the provision of the Services, or for the corruption of or loss of any data, information or content contained in Source Data or Output Data. You bear full responsibility for archiving and backing up your Source Data and sole liability for any lost or irrecoverable Source Data.
  6. You acknowledge provision of the Service and your access to the Services, including the Data Output, may depend on third party networks, including for continuity of access and connectivity to Odyssey, the provision of the Services and security measures, over which Odyssey do not have control.
  7. Other than as set out in clauses 6.b and 6.c, and to the full extent permitted by law:
    1. Odyssey will not be liable to you or any other person for any direct or indirect loss, special, incidental or consequential damages or loss of profits, liability, costs or expenses, suffered by you or any other person, including any fines, penalties or taxes imposed on you or any person, relating to the performance or non-performance of the Services, (including but not limited to any viruses, malicious programs, delays or interruptions in the provision of the Services, the Data Output or any other output of the Services, any guidelines or checklists, or any documents or reports created by you or any other person), or any breach of these Terms of Use or the supply of the Services or in connection with, use of any third party service providers, hardware, software or other online services; and
    2. Odyssey’s maximum liability for damages, including any fines, penalties or taxes, arising in connection with these Terms of Use or the supply of the Services, (including any Data Output or other output of the Services, or any documents or reports created by you or any other person), is limited to the amount paid by you for the Services for the relevant Data Output , amending the relevant Data Output or the payment of the cost of having the goods or services or their equivalent replaced or supplied again
5. Disclosure to Third Parties
  1. You acknowledge that by virtue of the nature of the Services, it is required that Source Data be converted to the relevant Reckon product format by Odyssey, possibly also in the cloud. You also acknowledge that your original submitted information (name, phone number, email address) is submitted to Odyssey.
  2. Odyssey is an Australian owned company operating in Vietnam. By accessing the services and/or indicating your consent on the relevant order form or access page you consent to us sending your Source Data and other information submitted to Odyssey
  3. Odyssey gives prime consideration to the integrity of all information travelling over their secure network. All hardware and software configurations are set at industry level best practice standards, with security and stability at the forefront. While every endeavour has been made to provide appropriate system security and procedures, this is subject to the limitations in clause 6
6. Privacy
  1. The Services are provided subject to Reckon’s Privacy Policy which can be accessed at http://www.reckon.com.au/aboutus/policies.aspx. By accessing the services and/or indicating your consent on the relevant order form or access page, you consent to Reckon collecting, using, disclosing, storing and handling your Personal Information in accordance with Reckon’s Privacy Policy.
  2. In addition, you acknowledge and agree that Odyssey provides its services subject to the Australian Privacy Laws. Odyssey’s privacy policy can be accessed at https://www.odyssey-resources.com/privacy/
7. Payment
  1. You must pay the fees for the Services as set out in the written order form or the website as updated from time to time. Fees must be paid in advance of the Service being used.
8. Severability
  1. In the event that any provision of these Terms of Use is held to be invalid or unenforceable, the remaining provisions of these Terms of Use will remain in full force and affect. Headings in the Terms of Use are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
9. Controlling Law and Jurisdiction
  1. These Terms of Use and any action related thereto will be governed by the laws of Australia without regard to its conflict of law provisions. The Australian courts shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these terms and conditions, and for those purposes you irrevocably submit all disputes to the jurisdiction of those courts.
